Condition of sale

These general conditions of sale apply to all goods and/or services of any nature supplied by UNICA. Any particular conditions, exceptions or changes to these conditions will be valid only if specified in a written agreement between UNICA and the purchaser (hereinafter referred to as the "CUSTOMER").

Delivery times for the goods will depend on whether the items are in stock or on how long it will take to become available.

Acceptance of the purchase offer will become effective once UNICA dispatches the products ordered by the CUSTOMER to the address he/she has indicated, upon issue of the payment receipt, invoice or/and relevant transport documents.

UNICA reserves the right not to confirm the content of the purchase offer, or not to accept the offer sent by the CUSTOMER, in the case that checks carried out indicate that the information provided is incorrect or incomplete, or that confirmation of the order has not been sent.

UNICA reserves the right to make alterations and changes to the content of the website whenever necessary and without notice.

We point out, regarding the goods that are not produced by UNICA, that the information and the technical descriptions of the products featured on the website, as well as their compatibility, are based on the information supplied directly by the manufacturers. Since it is common practice for manufacturers to make changes to the technical characteristics of the products without giving notice to distributors, UNICA is not responsible for any inaccuracies and declines all responsibility for any typing or printing errors that may be present. The photographs may not faithfully represent the products sold, and are intended only as a guideline.

UNICA’s price lists are not considered as an offer of any kind; they are merely indicative and may be modified unilaterally by UNICA without notice. The products will be invoiced at the price indicated on the order as accepted by UNICA. All prices are in Euros, including VAT, to whom it must add transport costs and possible “cash on delivery” payment cost or other ones, that are at the discretion and at the expense of the CUSTOMER.

Contracts regulated by these General Conditions are legally subject exclusively to Italian Law. All matters not expressly dealt with herein are regulated by the provisions of Legislative Decrees 50/92 and 206/05.

Any disputes arising from these General Conditions and/or orders made in accordance with them will be referred to the competent court of TURIN (ITALY).

Pursuant and in accordance with articles 1341 and 1342 of the Civil Code, by sending the order proposal to UNICA, the CUSTOMER declares that he/she has carefully read and fully understood all the clauses indicated in this contract.

By sending online confirmation of this order to UNICA, the CUSTOMER gives her/her consent to the processing of his/her personal details, declaring that he/she has been informed of the relevant conditions, pursuant to the terms of Legislative Decree no. 196/03.

The CUSTOMER declares, under his/her own responsibility, that he/she has full powers of administration or that such powers have been delegated to him/her by the firm whose details are being provided.

The CUSTOMER agrees to release UNICA from any responsibility in the event of legal action, complaints, governmental or administrative action, loss or damages (including legal expenses and fees) occasioned by the illicit use of products or services on the part of the user or on his/her behalf. UNICA may not be held responsible for failure to comply with obligations when this failure is ascribable to causes outwith the company's reasonable control, or for reasons of force majeure.

The CUSTOMER undertakes to indemnify UNICA against all losses, damages, responsibility, costs, charges and expenses, including legal expenses, that may be incurred or sustained as a consequence of failure to comply with any of the obligations undertaken under the terms of this contract. Prices are to be considered valid, except for: errors, omissions or a sudden change in prices due to market/currency fluctuations. These conditions are subject to change without notice. Online customers should check regularly whether changes have been made to the contract clauses.

In the case the CUSTOMER intends to place an order by fax or does not intend to register online, he/she must, before placing a new order, follow the full procedure for reading and accepting these contract conditions. For orders made by fax, UNICA reserves the right to request a copy of an identity document in order to ensure the purchaser is over 18.

Right of withdrawal

Conditions for exercising right of withdrawal

In compliance with the terms of Legislative Decree no. 50 of 15/01/1992 and Legislative Decree no. 185 of 22/05/1999, customers acting for reasons not connected and/or ascribable to professional business activity may withdraw from the purchase contract and obtain reimbursement of the price paid, without additional costs or penalties other than the expenses relating to the delivery and return of the article, in accordance with the terms indicated herein.

The goods must be returned intact and in the original packaging (with the guarantee seals, where present, intact). If the goods are damaged, incomplete or without the guarantee seals,the right of withdrawal shall have no effect and UNICA reserves the right not to accept the return and reimburse the price paid.

The customer may withdraw from the purchase contract within a maximum of ten working days from receipt of the product/s purchased, by sending to UNICA BUSINESS & VISION s.r.l. Strada Serravecchia 1, 10020 Pecetto Torinese (TO) - Italy a registered letter with return receipt indicating the intention to return the goods, or by sending notification of return, within 10 working days, by e-mail to info@deliziedellefate.com , to be followed within 48 hours by a registered letter with return receipt.

In the working days following the notification of return, the customer will receive a telephone call and/or email with instructions on how to return the "material", at his/her expense. Transport costs for returns will be charged in full to the customer.

Once the goods have been received, UNICA will contact the customer to define the terms of reimbursement, which will take place as agreed, either by postal order or by bank transfer made out to the name indicated on the invoice of the products returned and sent to the same within 30 (thirty) days of the return of the products.

articles customised at the request of the customer
articles not normally held in stock
since such articles are specifically ordered to suit customers' personal requirement

Payment and delivery

Payment

The payment procedure is quick and easy: all you have to do is select the payment option you wish to use on your customer file when you register, or when you make an order.

Payment by Advance Bank Transfer:

indicate "BANK Transfer" as the payment option on your customer file. Payment made by Bank Transfer must be made in advance. Once the order has been confirmed, you will be sent the details of our bank account to which the bank transfer must be made; the goods will be dispatched (if in stock) within 5 working days from the confirmation of our bank that payment has been made. Be so kind to write order number on bank transfer description.

Payment by Credit Card:

indicate "Credit Card" as the payment option on your customer file. Payment by personal credit card is possible for all orders, depending on the credit limit of the card. The transaction goes through in real time, on a protected connection (https) through Setefi Intesa San Paolo, and the goods will be dispatched (if in stock) within 5 working days if the transaction has been completed successfully.

Shipment and delivery

Goods will be sent by Express Courier, which offers a 24/48 working hour service (in Italy) except Sicilia, Calabria, Sardegna where the service is 72 working hour from the departure of the goods. The schedule is approximate and can be modified in particular period of the year or for particular locations.

For foreign countries (UE), time of delivery will be 72 working hour (starting from the day after shipment) except for some destination in Norway and Portugal where the delivery can take 5 working days (starting from the day after shipment).

Our system will recognize the articles selected by you; it will set their weight and will then suggest the most suitable method of dispatch and relative cost ,which may be calculated and considered in advance, with no obligation to complete the order. You can follow the progress of your order 24 hours a day by logging in www.sda.it , inserting the “tracking number” which will be sent through text message and/or e-mail after shipment.

Each sale is made ex-warehouse of customer. All transport operations will be arranged by UNICA, and expenses incurred for transport  will be charged in the customer invoice. UNICA answers for possible damage caused by the courier only if the damage is found at the moment of parcel collection in the presence of the courier and, therefore, is indicated in writing on consignment bill (the indication of damage must be indicated on both copies of consignment bill, addressee’s copy and courier’s copy). Customer must inform UNICA about the occurred damage and send copy of the relative consignment bill by fax or e-mail within 3 days from the receiving of the goods. The company will not answer for late communications and/or communications without written indications on consignment bill. In particular conditions, when the damage is not evident at the moment of collection, accept the goods indicating on consignment bill “with reservation of verification”.

All costs, including costs for in-hold at forwarder’s warehouse, will be charged fully to the customer in the following circumstances:

If the CUSTOMER refuses to accept delivery from the carrier
If the CUSTOMER cannot be contacted on workdays during office hours
In all cases, UNICA reserves the unchallengeable right to make partial deliveries unless otherwise specified in the order.

The goods will be sent only after payment has been received.

Complaints

Upon receipt of the goods, the CUSTOMER must immediately check the condition of the goods, and ensure they are as ordered.

All complaints regarding discrepancies between the product ordered and the product received, including those relating to the quantity and/or outer appearance, must be notified to the carrier in writing and notice must be given to UNICA within 3 (three) days from the receipt. In the contrary case, the claim will not be considered valid and even those claims relating to missing goods will not be taken into consideration, since both parties accepts as valid the details that appear on the transport document and/or the accompanying invoice.

Any hidden defects of flaws must be reported in writing, within 8 (eight) days from discovery, otherwise the claim will be invalid.

The CUSTOMER must allow UNICA to carry out all on-site checks required to assess the claim. In all cases, returns can be made only with the written consent of UNICA. If no agreement has been reached in this regard, the products returned will be kept available to the CUSTOMER at his own risk, and transport, storage and maintenance expenses will be charged to the CUSTOMER. In all cases, products will be returned from UNICA to the CUSTOMER at the risk and at the expense of the CUSTOMER.
